This Conveyance

made the Tenth
day of May One thousand nine hundred and twenty nine
B E T W E E N  THE SOUTHEND-ON-SEA ESTATES COMPANY LIMITED whose reg-
istered office is situate at Clarence Chambers Clarence Street Southend-
on-Sea in the County of Essex (hereinadter called "the Company") of the
one part and THE MAYOR ALDERMEN AND BURGESSES OF THE COUNTY BOROUGH OF
SOUTHEND-ON-SEA aforesaid (hereinafter called "the Corporation") of the
part  W H E R E A S : -------------------------------------------------
1.  By an Agreement dated the seventh day of March One thousand nine
hundred and twenty-three made between the Company of the one part and
the Corporation of the other part the Company agreed on the terms there-
in mentioned to convey to the Corporation the land hereinafter described
2.  By the said Agreement it was provided (inter alia) that the Corpor-
ation would on the land coloured pink on the plan drawn hereon carry
out certain works of road construction and other works and would declare
such constructed roads public highways repairable by the inhabitants
at large and that in respect of such work the Company would pay to the
Corporation the sums therein mentioned --------------------------------
3.  The Corporation have executed the said works to the satisfaction
of the Company and the Company have paid to the Corporation the sums
specified in the said agreement in respect of the said works ----------
4.  The Company being seised in fee simple in possession free from
incumbrances of such part of the said hereditaments as are not existing
highways and of the soil of such part thereof as consists of highways
subject to the rights of the public over and in respect of such highways
have agreed to convey the same to the Corporation in consideration of
the convenants as to the user by the Corporation hereinafter contained
NOW THIS DEED WITNESSETH: ---------------------------------------------
1.  THAT in pursuance of the said recited agreement and in considera-
tion of the covenants on the part of the Corporation hereinafter con-
tained the Company as Beneficial Owners hereby convey unto the Corpora-
tion ALL THOSE pieces of land (hereinafter referred to as "the said
land") situate at Prittlewell in the County Borough of Southend-on-Sea
and more particularly delineated on the plan drawn hereon and thereon
coloured pink blye brown and yellow respectively  TO HOLD the same unto
the Corporation and their assigns in fee simple subject as to such parts
thereof as are highways to the public rights over and in respect of such
highways --------------------------------------------------------------
2.  THE Company hereby grant unto the Corporation their successors and
assigns full and free right and liberty for themselves their Contractors
Agents Servants and Workmen to carry lay and construct (with such man-
holes therein as the Corporation may determine) and for ever after main-
tain in a proper and efficient condition a surface water sewer through
the land belonging to the Company and situate adjoining the London and
North Eastern Railway nad immediately to the south of the road recently
constructed by the Corporation between the points marked "D" and "E" on
the plan hereunto annexed in the position indicated on the said plan
by a red line between the points marked "Q" and "R" partly in the line
of the roadway proposed to be laid out by the Company on the said land
for the purpose of giving an outlet to the surface water sewer in the
said road recently constructed and for connecting with the line of pipes
indicated by the letters "ab" on the said plan ------------------------
3.  ALL the terms and provisions contained in Clauses 3 and 4 of the
said Agreement dated the seventh day of March One thousand nine hundred
and twenty-three are hereby confirmed and shall remain in full force
and effect ------------------------------------------------------------
4.  THE Corporation hereby covenant with the Company as follows:-
(1)  That they the Corporation will use the said land coloured blue on
said plan for the purposes of open spaces and shrubberies only and will
on the completion of this Conveyance plant and keep planted the same
with suitable trees and shrubs and will for ever hereafter maintain the
same as open spaces and shrubberies only and will within three months
from the date hereof erect and for ever hereafter maintain on the
Eastern boundary of the said land marked "K" on the said plan a nine
inch brick wall or unclimbable iron fence PROVIDED ALWAYS that the
Corporation shall be at liberty to construct a road or path not exceed-
ing fifteen feet in width across the said land marked "K" at a point
not nearer than eight feet at any point to the land marked "L" on the
said plan and thereon coloured green and will not erect without the
previous written consent of the Company any erection or underground
structure on any of the said land coloured blue and yellow respectively
on the said plan ------------------------------------------------------
(2)  That they the Corporation will use the said land coloured yellow
on the said plan for the purpose of inclusion within to form part of the
adjoining park known as Priory Park and for no other purpose and will
within three months from the date hereof provide a public entrance to
Priory Park from the road on which the said land abuts shown in red on
the said plan and will fence the southern boundary of the said land with
a nine inch brick wall or an unclimbable iron fence and for ever after
maintain the said wall or fence ---------------------------------------
5.  THE Company hereby acknowledge the right of the Corporation to
production of the documents specified in the Schedule hereto and to
delivery of copies thereof and hereby undertakes for the safe custody
thereof ---------------------------------------------------------------
    IN WITNESS whereof the Company and the Corporation have hereunto
caused their respective Common Seals to be affixed the day and year
