BY his Will of this date John Granger Sadd of Maldon in Essex Timber Merchant
	1. APPOINTED his Wife Mary Ann Sadd his daughter Mary Ann Price Sadd and his sons John
Price Sadd and Herbert Eustace Sadd the Executors and Trustees thereof
	8. RECITING that he and his brother Alfred Granger Sadd and Mr. Thomas Dowsett were
owners as tenants in common in certain shares of certain lands at Southend-on-Sea in Essex and
he and the said Thomas Dowsett were owners as tenants in common in certain shares of certain
other land at Southend-on-Sea all which lands had been purchased by himself and his co-owners
for the purpose of developing the same and of selling out the same from time to time in
building and other plots And reciting thatit was his desire that so far as was possible his
shares in the said properties should be held and dealt with in a way as similar as might be to
that in which the property had been dealt with by him in the past he therefore devised all his
shares and interest of and in the said properties at Southend-on-Sea unto his Trustees
thereinbefore named for management development and sale as therein mentioned And Testator
directed that subject to the provisions of that Clause the moneys arising from the sales to be
made under the provisions of that Clause should be held upon the trusts declared in Clause 9
concerning his trust fund therein mentioned and any rents or other annual income from time to
time arising from his said shares in the said properties under the sale thereof should be
considered as income of his trust fund and be applied and disposed of accordingly.
	9. TESTATOR gave the residue of his real and of his personal estate to his Trustees
thereinbefore appointed Upon trust to sell collect get in and convert the same into money and to
hold the proceeds arising from such sale and conversion and his ready money upon trust thereout
to pay his debts funeral and testamentary expenses and upon trust to invest the balance thereof
(such balance being therefore called "his trust fund") Upon trust to pay the dividends interest
and annual profits arising therefrom (and also the rents and profits of his real estate passing
under that Clause until sale) to his Wife Mary Ann during her life and after her death his
Trustees should hold the capital of his trust fund  Upon trust for such one or more exclusively
of the other or others of his children and grandchildren (such grandchildren being children of
a child of his deceased in his Wife's lifetime) in such parts shares and proportions and for such
estates and interests and subject to such conditions and restrictions and generally in such
manner and form as his said wife should from time to time by any revocable or irrevocable deed or
deeds or by her Will appoint  And in default of any subject to every such appointment Upon
trust for such of his children living at his death and such of the child or children living at
his death of any child of his dead in his lifetime as either in his lifetime or afterwards being
a male should attain the age of twenty-one years or being a female attain that age or marry under
that age with lawful consent in equal shares as tenants in common but so that the child or the
children collectively of any child of his dead in his lifetime should take and if more than one
equally the share only which his her or their parent would have taken if living at his death

BY INDENTURE of this date made between Thomas Dowsett J.P. of Southend-on-Sea in Essex Estate
Agent Alfred Granger Sadd of Maldon in the same County Timber Merchant Mary Ann Sadd Widow Mary
Ann Price Sadd Spinster John Price Sadd Timber Merchant and Herbert Eustace Sadd Engineer all of
Maldon aforesaid the said M.A. Sadd M.A.P.Sadd J.P. Sadd and H.E.Sadd being thereinafter referred
to as "the Executors" (and which said T.Dowsett and A.G.Sadd and the Executors were thereinafter
together called "the Vendors") of the first part Herbert Arthur Dowsett of Alexandra Street
Southend-on-Sea Ironmonger of the second part the said M.A. Sadd of the third part the said M.A.
P.Sadd the said J.P. Sadd Selina Janet Cocks of Heybridge in Essex the Wife of Frederick Charles
Cocks of the same place Miller Harry William Sadd of Maldon aforesaid Timber Merchant Jessie Laura
Girling of Buckminster in Leicestershire the Wife of Robert James Girling of the same place
Builder and Surveyor Edwin Alfred Sadd of Maldon aforesaid Market Gardener the said H.E.Sadd
Edith Gertrude Sadd of Maldon aforesaid Spinster Myra Eleanor Brown of Woodberry House Woodberry
Down Finsbury Park in Middlesex the Wife of Ernest Brown of the same place Cycle Component Part
Manufacturer and the Rev. Arthur Joseph Sadd of 8 Chelmsford Avenue Southend-on-Sea aforesaid
Congregational Minister of the fourth part and The Southend-on-Sea Estates Company Limited
having its Registered office at 3 Alexandra Street Southend-on-Sea aforesaid (thereinafter called
"the Company") of the fifth part
 
AFTER RECITING that the hereditaments described in the Schedule thereunder written were
then vested in the Vendors in the shares following namely: - as to one equal undivided
moiety thereof in the said T.Dowsett as to one equal undivided fourth part thereof in the
said A.G.Sadd and as to the remaining equal undivided fourth part thereof in the
Executors as Executors of the Will of John Granger Sadd J.P. of Maldon aforesaid deceased
such vesting being in fee simple in possession free from incumbrances except as the
same might then be affected by reason of portions of the original estates having been
sold subject to building estate stipulations but the legal estate in the hereditaments
described in Part 2 of the Schedule was then vested in the said H.A. Dowsett as
Trustee for the Vendors as he thereby acknowledged
AND RECITING that by an Agreement dated the 17th August 1900 made between the said T.
Dowsett of the first part the said J.G.Sadd of the second part and the said A.G.Sadd of
the third part After reciting that the parties thereto were the owners of certain building
and other estates and properties connected therewith in or adjoining to the Borough of
Southend-on-Sea being the hereditaments which were described in Part 1 of the Schedule
to the draft agreement thereinafter mentioned and which estates and properties included
the estates and securities specified in the First Schedule thereto and that they were
desirous of forming the ownership and management of such estates and properties into a
Company to be called The Southend-on-Sea Estates Company Ltd. and that they had
approved the draft of a proposed agreement for sale of the said estates and properties
to the Company and had also provisionally approved the drafts of the Memorandum and
Articles of Association of the proposed Company the said parties mutually agreed that
they would forthwith take all steps necessary for the formation of the Company
on the basis of the said Memorandum and Articles and on the foundation of the Company
would sign and carry out the said Agreement

AND RECITING that the said J.G. Sadd died on the 20th August 1900 /_ appointed the
Executors to be the Executors thereof And they duly proved the same in the Principal
Probate Registry on the 18th October 1900
AND RECITING that the said J.G. Sadd by the ninth clause of his said Will gave the
residue of his real and personal estate which included the real estate and securities
comprised in the draft agreement referred to in the thereinbefore recited Agreement
of the 17th August 1900 to his Trustees thereinbefore appointed (being the Executors)
Upon trust as set out in the abstract of his Will ante
AND RECITING thath the said J.G. Sadd left him surviving 10 children only namely :-
The parties thereto of the third part all of whom had attained the age of 21 years
AND RECITING that no child of the said J.G. Sadd died in his lifetime leaving issue
AND RECITING that the draft agreement referred to in the thereinbefore recited Agreement
of the 17th August 1900 was never executed
AND RECITING that the Company (being the Company referred to in the thereinbefore
recited Agreement and the said draft agreement) had been registered under the
Companies Acts 1862 to 1898
AND RECITING that by Agreement dated the 21st December 1900 made between the Vendors of
the one part and the Company of the other part the Vendors confirmed the terms of the
said draft agreement as therein mentioned and the Vendors and the Company adopted the
same with the variations therein mentioned
AND RECITING that the price fixed for the sale and purchase of hte estates and securities
comprised in Part 1 of the Schedule to the said draft agreement was £120,000 such price
to be satisfied by the issue to the said T.Dowsett J.G. Sadd and A.G. Sadd or their
nominees of the 12,000 shares of £10 each forming the capital of the Company in the
proportions of one-half to the said T.Dowsett one-fourth to the said J.G.Sadd and the
remaining one-fourth to the said A.G. Sadd or their nominees respectively the said
shares to be deemed for all purposes to be fully paid up and to be taken at their par
value and the same agreement or some other sufficient contract relating to such issue
to be filed with the Registrar of Joint Stock Companies
AND RECITING that the said Agreements dated the 17th August 1900 (with the draft
agreement there referred to) and the 21st December 1900 had been so filed and the said
12,000 shares had since been issued as fully paid to the Vendors or their nominees in
the proportions aforesaid as they thereby respectively acknowledged
AND RECITING that the Company had requested that the hereditaments described in the
Schedule thereto and the remainder of the estates and securities comprised in the said
agreement might be separately conveyed to it and accordingly to the aforesaid price of
£120,000 had been apportioned as follows - for the estates described in the Schedule
hereto £13,000 and for the remainder of the estates and securities £107,000 AND by
an Indenture of even date therewith the remainder of the estates and securities were
intended to be conveyed to the Company
AND RECITING that the said M.A. Sadd had agreed to release the powers of appointment
conferred on her by the said Will of the said J.G. Sadd so far as relating to the share
and interesto fh te said J.G. Sadd in the estates and securities the subjects of the
thereinbefore mentioned agreements of the 17th August 1900 and the draft agreement
therein referred to and the agreement of the 21st December 1900 but no further or
otherwise AND she and the said parties thereto of the fourth part had agreed to join in
abstracting Indenture in manner and for the purposes thereinafter expressed
IT WAS WITNESSED that to effectuate the agreements of the 17th August 1900 and the draft agreement therein referred to and the agreement of the 21st December 1900 and in pursuance of the agreement contained in the last recital of abstracting Indenture and in consideration of the premises the said M.A. Sadd did thereby release ALL the share and interest of the said J.G. Sadd in the said estates thereinafter expressed to be thereby assured FROM the powers by the said Will of the said J.G. Sadd given to her to appoint the same by Deed or Will as therein mentioned to the intent that the same premises might thenceforth be absolutely discharged from the said powers of appointment and that she might thenceforth be precluded from excercising the said powers or any of them so far as related to the estates and securities the subjects of the thereinbefore mentioned agreements and draft agreement or any part thereof but not further or otherwise AND IT WAS ALSO WITNESSED that in consideration of the Company having issued to the said T. Dowsett or his nominees 650 shares of £10 each to the said A.G. Sadd or his nominees 325 shares of £10 each and to the Executors 325 shares of £10 each all of such shares being fully paid up the issue of which shares the Vendors acknowledge to be in satisfaction of £13,000 apportioned as aforesaid as the price of the estates described in the Schedule thereto THE said T. Dowsett and A.G. Sadd as Beneficial Owners and the Executors as Personal Representatives of the said J.G. Sadd deceased and in excercise of the powers vested in them under the Conveyancing and Law of Property Act 1881 and the Land Transfer Act 1897 and of all other powers (if any) them thereunto enabling thereby respectively as to their several shares estates and interests of and in the said hereditaments described in the Schedule thereby conveyed AND the said H.A. Dowsett as to all the estate and interestin the hereditaments described in Part 2 of the said Schedule then vested in him and as Trustee and by direction of the Vendors conveyed to the Company AND the said M.A. Sadd and the said parties thereto of the fourth part as to their respective shares estates and interests as Beneficial Owners thereby confirmed to the Company ALL the land hereditaments and premises described in the Schedule thereto AND all other if any the hereditaments then vested in the conveying parties under or by virtue of any of the Deeds of Conveyance referred to in the last column of the said TO HOLD the same unto and to the use of the Company and its assigns in fee simple Subject if and so far as applicable to any building estate stipulations which might then affect the same as aforesaid
